Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of the software development services, including custom CRM, ERP development, and API integration services ("Services") provided by Tuğrul Yıldırım ("Service Provider", "we", "us", or "our"). By engaging our Services, you ("Client", "you", or "your") agree to be bound by these Terms.
These Terms are subject to the laws of the Republic of Turkey. Any disputes arising from these Terms or the Services shall be resolved in accordance with Turkish law and the jurisdiction of Turkish courts.
2. Services Description
We provide bespoke software development services, including but not limited to:
- Custom CRM (Customer Relationship Management) system development
- Custom ERP (Enterprise Resource Planning) system development
- API (Application Programming Interface) design and integration
- Third-party service integration
- Technical consultation and architecture reviews
- Documentation and handover services
3. Service Agreements
Each project engagement shall be governed by a separate written agreement ("Project Agreement") that specifies:
- Project scope, deliverables, and milestones
- Timeline and delivery schedule
- Pricing, payment terms, and invoicing schedule
- Intellectual property rights and ownership
- Warranties, support, and maintenance terms
In the event of any conflict between these Terms and a Project Agreement, the Project Agreement shall prevail with respect to that specific project.
4. International Sales and Distance Contracts
For international clients and distance contracts (as defined by Turkish Consumer Protection Law No. 6502), the following provisions apply:
- Services are provided remotely, and all communication is conducted in English unless otherwise agreed
- Payment terms and currency shall be specified in the Project Agreement
- For software services, the right of withdrawal (14-day cooling-off period) may not apply as services are custom-developed and begin immediately upon agreement
- All contracts are subject to Turkish law, regardless of the Client's location
5. Intellectual Property Rights
Unless otherwise specified in the Project Agreement:
- Upon full payment, all custom-developed code, documentation, and deliverables become the property of the Client
- We retain the right to use general knowledge, methodologies, and non-proprietary techniques developed during the project
- Third-party libraries, frameworks, and open-source components remain subject to their respective licenses
- We may showcase the project in our portfolio with Client's prior written consent
6. Payment Terms
Payment terms shall be specified in each Project Agreement. Generally:
- Invoices are issued in accordance with the payment schedule specified in the Project Agreement
- Payment is due within the timeframe specified in the invoice (typically 14-30 days)
- Late payments may incur interest charges as permitted by Turkish law
- We reserve the right to suspend Services until payment is received
7. Warranties and Limitations
We warrant that Services will be performed with reasonable skill and care in accordance with industry standards. However:
- We do not guarantee that the Services will be error-free or uninterrupted
- Our liability is limited to the total fees paid for the specific project
- We are not liable for indirect, consequential, or special damages
- Client is responsible for providing accurate requirements and timely feedback
8. Confidentiality
We agree to maintain the confidentiality of all Client information and project details, except:
- Information that is publicly available or becomes publicly available through no breach of these Terms
- Information required to be disclosed by law or court order
- Information disclosed with Client's prior written consent
9. Termination
Either party may terminate a Project Agreement:
- For material breach, with written notice and a reasonable cure period
- For convenience, with written notice as specified in the Project Agreement
- Upon termination, Client shall pay for all Services rendered up to the termination date
10. Data Protection
We process personal data in accordance with the Turkish Personal Data Protection Law (KVKK - Law No. 6698) and our Privacy Policy. By using our Services, you consent to the processing of your personal data as described in our Privacy Policy.
11. Dispute Resolution
Any disputes arising from these Terms or the Services shall be resolved:
- First, through good faith negotiation between the parties
- If negotiation fails, through mediation or arbitration as agreed in the Project Agreement
- As a last resort, through the competent courts of Turkey

13. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on this page. Continued use of our Services after changes constitutes acceptance of the modified Terms. For existing projects, the Terms in effect at the time of the Project Agreement shall continue to apply.
